DISTRIBUTORSHIP AGREEMENT (SAMPLE)

Note : This contract is for sample use only . We can use this as a guide line (for you to look at different aspect when you do the business). You may choose to have simple version of agreement when you only want to try or start off with a smaller investment. The purpose of the agreement is to make sure the brand is present in the same direction which will benefit for both party in the long term.

  1. Goal
    • to build Lanopearl skin care brand in China successfully
    • to offer high quality Australian made products in China
    • to create wealth for shareholder
    • to have passion & experience staff team work
  2. Mission
    • to be in top 5 (market share) of skin care brand that import from Australia in placenta segment in 5 years ( price range A$2-$25) in 2012
    • to be in top 5 (market share) of organic skin care brand that import from Australia in 2012
    • to be in top 5 health products supplier from Australia (optional) ( blackmores #1, no2 ? ) in 2012
    • to be the one of the most well known Australian skin care brand from Australia in China with in 2012
  3. Investment between $200,000 -$300,000 will be specific when business plan is finalised
  4. Management team - min. 7 (manager, marketing manager, sale 3, account ,store)
  5. Marketing advisor is needed, to promote the brand include advertising , promotion, shelf design and PR & CRM in the first 3 years
  6. FDA advisor is necessary to help apply certificate of import
  7. Account advisor necessary when starting the company in order to be on the right tract. For account we need only short term (when start)
  8. Interior designer is needed when setting up the office and show room
  9. Guildline from Lanopearl Australia : 90% should be similar. You can get info from our intranet website. Any change in the guild line need to be approved by Lanopearl
  10. Report : monthly report : profit & lost + balance sheet require with in 20 of the following month
  11. Brand positioning Mt Retour: $15-35 organic shop high income A, Lanopearl $15-35 medium department store medium up income B+, Rebirth: $2-15 modern trade & small shop -low income C
  12. Brand production in China : Allow only Rebirth in small size 10-50g pay 5% Loyalty fee amount no more than 30% of rebirth income
  13. Contract 10+10Years
  14. Design (shelf ,brochure etc) needs approval from Lanopearl 100% until change
  15. Decoration: showroom, office, signage, warehouse must be in standard
